⚠ IMPORTANT — PLEASE READ CAREFULLY
These Terms & Conditions (“Terms”) constitute a legally binding agreement governing your access to
and use of the SharkFilet platform, including all products, services, digital marketplaces, applications,
smart mirror interfaces, token systems, and healthcare program modules operated by SharkFilet
LLC. By creating an account, initiating a purchase, listing a product, or connecting a cryptographic
wallet, you agree to be bound by these Terms in full. If you do not agree, do not use the platform.
1. Definitions & Interpretation
In these Terms, the following definitions apply:
• “SharkFilet,” “we,” “us,” or “our” means SharkFilet LLC, a Texas limited liability company.
• “Platform” means the SharkFilet website, mobile application, smart mirror software, and all
associated services and APIs.
• “User,” “you,” or “your” means any person or entity accessing or using the Platform, including
Streamers, Designers, Fabricators, Shippers, Buyers, and Verified Sharks.
• “Streamer” means a content creator who operates a branded storefront on the Fashion & Merch
division of the Platform.
• “Designer” means an independent graphic or apparel designer listed on the SharkFilet Designer
Marketplace.
• “Fabricator” means a verified small-batch manufacturer or print-on-demand studio in the Maker
Network.
• “Shipper” means a delivery service provider integrated with the Platform’s logistics layer.
• “Buyer” means a consumer who purchases products through the Platform.
• “Verified Shark” means a User who has met the minimum activity and staking thresholds to
qualify for SharkCare benefits, as defined in Section 8.
• “8-Way Split” means the automatic, smart-contract-governed revenue distribution mechanism
described in Section 4.
• “$FILET” means the SharkFilet utility token used for rewards, staking, and community DAO
contributions.
• “$BITE” means the SharkFilet governance token used for DAO voting on SharkCare and platform
governance decisions.
• “SharkCare” means the decentralized healthcare benefit program operated by SharkFilet LLC,
described in Section 8.
• “Maker Network” means the three-tier supply chain of Designers (Tier 1), Fabricators (Tier 2), and
Shippers (Tier 3) operating within the Platform.
• “Drop” means a scheduled product launch by a Streamer on the Fashion & Merch Platform.
• “DAO” means Decentralized Autonomous Organization, the governance structure through which
$BITE holders vote on community fund decisions.
• “Smart Contract” means the self-executing code deployed on a blockchain network that
automatically governs revenue distribution, token rewards, and DAO contributions upon
transaction settlement.
• “ARK Mirror” means the SharkFilet smart mirror hardware product (ARK Starter and ARK Pro)
used for AR try-on and commerce.
• “Custom Order” means any product manufactured on-demand pursuant to a Buyer’s purchase,
including all print-on-demand apparel, accessories, and footwear.
• “Force Majeure” means circumstances beyond a party’s reasonable control, including acts of
nature, government actions, supply chain disruption, or blockchain network outages.
Interpretation: Section headings are for convenience only. “Including” is not exhaustive. References to
statutes include amendments. Singular includes plural and vice versa.
2. Eligibility & Account Registration
2.1 Minimum Age
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account
or make purchases on the Platform. Users of the EmotiConnect AR platform who are minors must have
documented parental or guardian consent, and all minors’ accounts must be created and managed by a
parent or guardian. SharkFilet reserves the right to terminate accounts of Users who misrepresent their
age.
2.2 Account Registration
You agree to: (a) provide accurate, complete, and current registration information; (b) maintain the
security of your password and accept responsibility for all activity that occurs under your account; (c)
promptly notify SharkFilet of any unauthorized use of your account at support@sharkfilet.com; and (d) not
transfer, sell, or assign your account to any third party.
2.3 Wallet Connection
To earn, hold, stake, or transfer $FILET tokens, you must connect a compatible Web3 wallet (e.g.,
MetaMask, WalletConnect-compatible wallet) to your SharkFilet account. You are solely responsible for
the security of your wallet and private keys. SharkFilet has no ability to recover lost wallets or private keys
and bears no liability for token losses arising from wallet compromise.
2.4 Business Accounts
Maker Network members (Designers, Fabricators, Shippers), talent agencies, and brand partners must
complete additional verification. Business accounts require a valid business registration number, tax
identification, and execution of supplemental Maker Network agreements as detailed in Section 7.
2.5 Account Termination
SharkFilet reserves the right to suspend or terminate accounts at its discretion for violations of these
Terms, fraudulent activity, chargebacks, supply chain misrepresentation, or conduct that harms the
SharkFilet community. Termination does not extinguish earned $FILET already vested in your connected
wallet, nor does it retroactively void completed orders.
3. Platform Overview & Division-Specific Terms
SharkFilet LLC operates four integrated business divisions under a single Platform ecosystem. These
Terms apply to all divisions. Additional division-specific provisions are set out in Sections 7–10.

Entertainment (INSPIRE) Readers, Fans, Licensed Vertically integrated IP studio: publishing, film
Creators development, Adaptive Narrative Engine subscriptions,
and creator licensing.
SharkCare (PROTECT) Verified Sharks, All DAO-governed decentralized healthcare fund
Platform Participants automatically funded by a 10% allocation from every
Fashion & Merch transaction.
4. Subscriptions, Payments & Merchant of Record
4.1 Merchant of Record Disclosure
All financial transactions, digital and physical product checkouts, software license acquisitions,
subscription billing structures, and automated renewals within the SharkFilet platform are managed and
fulfilled by our Merchant of Record, Paddle (Paddle.com Market Ltd, Judd House, 18–29 Mora Street,
London, EC1V 8BT, UK) and its operational subsidiaries.
4.2 Legal Reseller Framework
By initiating a transaction on sharkfilet.com or associated network interfaces, you acknowledge and
accept that Paddle acts as the legal reseller of all platform assets, software licenses, heirloom book
editions, and physical apparel items. Paddle handles secure transaction billing, collection of regional
sales and value-added taxes, system fraud monitoring, multi-currency conversion, and payment-related
support queries, returns, or billing disputes.
4.3 Currency & Settlement
Fiat payments (credit card, Apple Pay, PayPal) are settled in USD. Cryptocurrency payments ($FILET,
ETH, approved stablecoins) are converted to USD equivalents at the exchange rate at time of
transaction. SharkFilet is not responsible for exchange rate fluctuations between order placement and
settlement.
4.4 Tax Responsibilities
Each participant in the 8-Way Split is independently responsible for reporting and remitting all applicable
income, self-employment, sales, VAT, or other taxes arising from their receipts. SharkFilet will provide
Form 1099-NEC (for US persons) or equivalent documentation to Designers and Fabricators earning over
the IRS reporting threshold annually. Streamers receiving royalties are treated as independent
contractors for tax purposes. SharkFilet does not withhold taxes on behalf of any participant except as
required by law.
5. The 8-Way Transparent Revenue Split
5.1 Architecture & Immutability
Every product transaction processed through the SharkFilet Fashion & Merch Platform is governed by a
smart contract that automatically routes value to eight designated recipients at the moment of transaction
settlement. This distribution is encoded in the smart contract architecture and cannot be altered by
SharkFilet management, investors, or any individual participant without a DAO governance vote as
described in Section 9.3.
5.2 Standard Distribution

5.3 Variable Pricing
The percentage allocations are fixed. Absolute dollar amounts vary proportionally with the retail price set
by the Streamer. Streamers acknowledge that adjusting their retail price affects all eight recipients in
direct proportion. SharkFilet will display the real-time split breakdown in the Creator Dashboard as the
Streamer adjusts pricing.
5.4 On-Chain Transparency
Every completed transaction generates an ERC-721 tokenized receipt recorded on the Ethereum/Polygon
blockchain that permanently documents the exact distribution amounts. Any participant or third party may
audit any transaction using the on-chain record. SharkFilet does not control the public blockchain and
cannot alter or delete on-chain records.
6. Returns, Refunds & the Multi-Party Reversal Framework
Why Refunds on Custom Orders Are Structurally Complex
Because every SharkFilet transaction distributes value to eight parties simultaneously at the moment
of settlement — including a carbon offset fund and a DAO healthcare pool — a full refund cannot
simply reverse a single transaction. SharkFilet’s refund framework is designed to be fair to Buyers
while respecting the legitimate economic interests of Designers, Fabricators, and the SharkCare
community pool.
6.1 On-Demand Manufacturing Policy
All apparel, accessories, and merchandise sold through the SharkFilet Fashion & Merch Platform are
manufactured on-demand following receipt of a Buyer’s confirmed order. Because items are custom-
produced to order and are not held in pre-manufactured inventory, SharkFilet operates under a
conditional return policy as detailed below. By completing a purchase, Buyers acknowledge and accept
this on-demand manufacturing model.
6.2 Qualifying Defects (Full Refund Available)
A qualifying defect exists where a delivered product materially fails to conform to its published
specification. Qualifying defects include:
• Significant print quality failure (e.g., incomplete, blurred, or incorrect design application not
present in the approved product mockup)
• Manufacturing defect rendering the item unwearable (e.g., seam failure, structural defect, or
sizing error where the shipped item’s actual measurements deviate more than 10% from the
stated size chart)
• Wrong item shipped (wrong design, wrong colorway, wrong product type)
• Damage caused during fulfillment or shipping where the item arrives in a condition materially
different from its manufactured state
6.3 Non-Qualifying Returns
The following do not constitute qualifying grounds for return because the item was manufactured correctly
to specification:
• Buyer’s change of mind after the order is submitted and production has commenced
• Dissatisfaction with a design or colorway that matches the published product listing
• Sizing issues where the Buyer selected a size inconsistent with the published size chart and the
item’s measurements are within tolerance
• Minor color variation resulting from differences between screen display calibration and printed
output, where the variation is within industry-standard tolerance
• Items that have been worn, washed, or altered after receipt
AR Try-On & Size Chart Reliance
SharkFilet provides AR try-on functionality specifically to reduce sizing uncertainty before purchase.
Buyers are strongly encouraged to use the AR try-on feature and consult the published size chart
before completing an order. Where a Buyer utilized AR try-on and the delivered item conforms to the
specifications displayed in the try-on, SharkFilet will give reduced weight to sizing-related return
requests.
6.4 Return Process
To initiate a return, the Buyer must:
• Contact SharkFilet Support at returns@sharkfilet.com within 14 days of confirmed delivery.
• Provide photographic evidence of the defect alongside the order confirmation number.
• Retain the item in its received condition and, where directed by SharkFilet, return it to the
designated Fabricator or SharkFilet logistics address using the pre-paid return label provided.
• Allow SharkFilet up to 5 business days to assess the return claim and communicate a resolution.
6.5 Multi-Party Refund Waterfall
Where a return claim is approved, SharkFilet applies the following refund waterfall depending on the
defect type:
6.5.1 Fabricator-Fault Defect
Buyer receives a full refund. SharkFilet initiates a clawback of the Fabricator’s 20% share. The Streamer’s
25% royalty and Designer’s 20% royalty are retained in full. The Carbon Offset 5% is non-refundable
once offset certificates have been issued. The Community DAO / SharkCare 10% is non-refundable;
SharkFilet credits the Buyer’s account with an equivalent $FILET SharkCare community credit. The
Buyer’s $FILET reward of 5% is reversed upon full refund issuance.
6.5.2 Shipping-Fault Defect
Buyer receives a full refund or a replacement item at Buyer’s election. The Shipper’s 5% allocation is
subject to clawback where the Shipper’s insurance or liability framework applies. SharkFilet will initiate a
shipping insurance claim on the Buyer’s behalf where applicable.
6.5.3 Platform Error
Buyer receives a full refund. SharkFilet absorbs the loss from the Platform’s 10% allocation and, where
insufficient, from SharkFilet’s operating reserve. All other recipient allocations are retained.
6.5.4 Goodwill Exception
At SharkFilet’s sole discretion, the Platform may offer a goodwill partial credit (not a cash refund)
denominated in $FILET for circumstances where a Buyer’s dissatisfaction is genuine but the item was
manufactured correctly. Goodwill exceptions do not trigger clawbacks from Streamers, Designers, or
Fabricators.
6.6 SharkCare Non-Refundability
Why the SharkCare 10% Is Non-Refundable
The 10% Community DAO / SharkCare allocation is structurally non-refundable because it is
automatically staked into the community healthcare pool at the moment of transaction settlement.
These funds support healthcare coverage for Verified Sharks. Reversing individual contributions
would undermine the actuarial stability of the fund. Buyers who receive qualifying refunds receive an
equivalent $FILET SharkCare Community Credit to their account, preserving their participation in the
ecosystem.
6.7 Chargebacks
Initiating a chargeback or payment dispute through your card issuer or payment processor without first
following the return process in Section 6.4 constitutes a breach of these Terms. In the event of a
chargeback: (a) your $FILET token rewards from the disputed transaction are frozen and may be burned;
(b) your account may be suspended pending investigation; (c) SharkFilet will contest the chargeback with
the documentary evidence of the 8-Way Split receipt, delivery confirmation, and your prior
communications. Verified fraudulent chargebacks may result in permanent account termination and
referral to applicable authorities.
6.8 Streamer Responsibility for Product Claims
Streamers are responsible for the accuracy of their product listings, including size charts, materials
descriptions, design mockups, and product photography. Where a return is attributable to a material
misrepresentation in the Streamer’s listing, SharkFilet may initiate a partial or full clawback of the
Streamer’s 25% royalty allocation and apply it to the Buyer’s refund. Streamers who accumulate more
than a 10% return rate on a given Drop may have that Drop suspended pending review.
7. The $FILET Token & $BITE Governance Token
Token Classification Notice
$FILET is a utility token designed to function as a reward, access, and staking mechanism within the
SharkFilet ecosystem. $FILET is not intended to constitute a security, investment contract, or
financial instrument under applicable law. Nothing in these Terms constitutes an offer or solicitation
to purchase tokens as an investment. Users should consult independent legal and financial advisors
regarding the tax and regulatory treatment of tokens in their jurisdiction.
7.1 Nature of the Tokens
$FILET functions as a utility token with the following in-platform uses: (a) Buyer loyalty rewards earned
through purchases; (b) staking to qualify for SharkCare healthcare benefits; (c) staking to earn yield
through designated DeFi protocols; (d) redemption against future purchases on the Platform; and (e)
conversion to $BITE governance tokens upon meeting long-term staking thresholds.
$BITE is the governance token that confers voting rights in the SharkCare DAO and on Platform
governance proposals. $BITE does not confer equity ownership in SharkFilet LLC, dividend rights, or
profit-sharing rights. $BITE is non-transferable except in limited circumstances approved by DAO
governance vote.
7.2 Earning $FILET
$FILET is earned through the following Platform activities:
• Buyer Rewards: 5% of every qualifying purchase, automatically loaded to the connected wallet
upon delivery confirmation.
• Creator Milestone Bonuses: Streamers earn $FILET bonuses upon hitting defined sales
milestones.
• Fabricator Volume Rewards: Verified Fabricators earn $FILET bonuses for sustained order
volume, rated quality, and ethical standards compliance.
• Staking Yield: $FILET staked in the Community Pool earns yield at a target APY of 5–8% via
designated DeFi protocols. Yield is not guaranteed and may vary with market conditions.
• Referral Programs: $FILET may be awarded for referring new creators, designers, or fabricators
to the Platform, as published in active promotions.
7.3 Staking Terms
When you stake $FILET, you agree that: (a) staked tokens are locked for the minimum 90-day period and
cannot be withdrawn during the lock period without forfeiting accrued yield; (b) staking yield is derived
from DeFi protocols and is subject to smart contract risk, protocol risk, and market risk; (c) SharkFilet
does not guarantee staking yields and is not responsible for losses arising from DeFi protocol failures; (d)
a minimum staking balance of 500 $FILET is required to maintain Verified Shark status for SharkCare
benefit eligibility.
7.4 DAO Governance & $BITE Voting
Users who stake $FILET for a minimum of 90 consecutive days accumulate $BITE governance tokens at
a ratio published in the current Tokenomics documentation at sharkfilet.com/tokenomics. $BITE
governance votes are conducted through the SharkFilet DAO platform and govern: coverage tier
decisions for SharkCare; allocation of the Community Pool; approval of healthcare partner contracts;
platform fee adjustments; and other matters designated by SharkFilet as subject to community
governance. SharkFilet retains a veto right over DAO proposals that would violate applicable law,
jeopardize SharkCare’s regulatory standing, or materially harm the Platform.
7.5 Token Revocation & Burn
SharkFilet reserves the right to freeze, revoke, or burn $FILET in the following circumstances: (a) tokens
earned through fraudulent purchases or chargebacks reversed under Section 6.7; (b) tokens held in
accounts terminated for Terms violations under Section 2.5; (c) tokens identified as proceeds of
exploitation of platform vulnerabilities. Any token revocation is logged on-chain with a reason code.
7.6 No Investment Advice
SharkFilet does not provide investment, financial, tax, or legal advice regarding $FILET or $BITE. The
value of $FILET may fluctuate significantly. Do not acquire $FILET on the expectation of profit from the
efforts of SharkFilet or others. SharkFilet’s SEC compliance posture regarding $FILET is subject to
ongoing legal review and may change. Users are responsible for ensuring their token activities comply
with the laws of their jurisdiction.
8. The Maker Network — Designers, Fabricators & Shippers
Independent Contractor Status
All Designers, Fabricators, and Shippers in the Maker Network are independent contractors, not
employees of SharkFilet LLC. SharkFilet does not control the means or methods of their work, set
their hours, or supervise their operations. This classification has important tax and benefits
implications. Each Maker Network participant is responsible for their own business compliance, tax
filings, insurance, and operating costs.
8.1 Designer Terms
By listing designs on the SharkFilet Designer Marketplace, you represent and warrant that:
• You are the original creator of all submitted designs, or hold all necessary rights, licenses, and
permissions to submit and license the designs on the Platform.
• Your designs do not infringe the intellectual property rights of any third party, including copyright,
trademark, and trade dress rights.
• Your designs comply with SharkFilet’s Community Standards (Section 12) and do not contain
prohibited content.
• You grant SharkFilet a non-exclusive, worldwide, royalty-free license to reproduce, display, and
distribute your designs solely for the purpose of fulfilling Platform orders and marketing the
Platform.
• You will receive a 20% royalty on every sale of a product incorporating your design, paid
automatically via smart contract, perpetually for as long as the design remains listed and active.
• SharkFilet may remove your design listing if it receives a valid intellectual property takedown
notice, without advance notice to you, and will notify you following removal.
8.2 Fabricator Terms
Verified Fabricators agree to the following:
• All products must be manufactured to the specifications provided in the order dashboard,
including design placement, colorways, material specifications, and size chart tolerances.
• Fabricators must maintain a quality rating of 4.0 or above (on a 5-point scale) to retain Verified
status. Fabricators falling below 3.5 will be suspended pending review.
• Fabricators must comply with SharkFilet’s Ethical Standards Certification, which includes fair
labor practices, safe working conditions, prohibition of child labor, and compliance with applicable
minimum wage and employment laws.
• Fabricators consent to periodic ethical sourcing audits, which may be conducted remotely or in
person by SharkFilet or an authorized third party.
• Fabricators are responsible for packaging, quality control inspection before dispatch, and
generating accurate shipping documentation.
• Where a product defect is determined to be Fabricator-fault under Section 6.5.1, the Fabricator
accepts the corresponding clawback from their pending settlement balance.
• Fabricators retain their 20% allocation on all completed orders. SharkFilet will process payouts on
a bi-weekly basis net of any applicable clawbacks.
8.3 Shipper Terms
Shipping partners integrated into the Platform’s logistics layer agree to: (a) maintain real-time tracking
integration with the Platform’s API; (b) comply with applicable carrier regulations and import/export
requirements; (c) carry sufficient cargo insurance to cover the replacement value of typical Platform
orders; (d) participate in SharkFilet’s carbon routing system, which may assign orders to specific carriers
based on emissions optimization. Shippers’ 5% allocation is released upon delivery confirmation.
8.4 Shark Pod Participants
Participants in the SharkFilet Shark Pod incubation program are subject to the Shark Pod Agreement
executed at enrollment, which supplements these Terms. Pod participants who use SharkFilet-provided
equipment remain responsible for maintaining that equipment in good working order. SharkFilet’s
revenue-sharing arrangement with Pods (5% on first $1M, 10% on the next $1M in five-year cumulative
revenue) is binding as set out in the Pod Agreement.
9. SharkCare — Decentralized Healthcare Program
SharkCare Is Not Insurance
SharkCare is a DAO-governed community benefit program. It is not a licensed health insurance
product and does not constitute insurance under any applicable state or federal insurance law during
its pilot phase. SharkCare’s Phase 1 benefits are delivered through contracts with licensed telehealth
providers and healthcare service companies. Participants are not purchasing insurance through
SharkCare. SharkFilet does not guarantee the availability, continuity, or sufficiency of SharkCare
benefits.
9.1 Verified Shark Eligibility
To qualify for SharkCare benefits, a User must achieve and maintain Verified Shark status by meeting
one of the following activity thresholds:
• Streamers: Active SharkFilet storefront with a minimum of 3 completed product Drops per year
and at least $500 in annual gross sales through the Platform.
• Designers: Active listing on the Designer Marketplace with a minimum of 5 completed design
commissions per year and a quality rating of 3.8 or above.
• Fabricators: Verified Maker Network member with a minimum of 50 orders fulfilled per year and a
quality rating of 4.0 or above with current ethical standards certification.
• $FILET Stakers: Community members who stake a minimum of 500 $FILET tokens for a
minimum consecutive 90-day period qualify regardless of platform role.
Verified Shark status is assessed quarterly. Users who fall below thresholds receive a 30-day grace
period to restore eligibility before SharkCare access is suspended.
9.2 Phase 1 Benefits (2025–2026 Pilot)
During the Phase 1 pilot, SharkCare provides the following benefits to Verified Sharks:
• Unlimited primary care telehealth visits through SharkFilet’s designated telehealth partner
platform (no copay for Verified Sharks).
• Eight (8) mental health therapy sessions per year through the designated telehealth platform,
including EmotiConnect AR-integrated sessions.
• Prescription discount access through GoodRx or equivalent partnership, providing 60–80%
savings on generic medications at participating pharmacies.
• Dental Savings Plan access through Careington or equivalent, providing 20–60% discounts on
dental procedures at participating providers.
• Access to the 24/7 mental health crisis support line integrated with EmotiConnect AR.
Phase 1 benefits are subject to the terms, limitations, and exclusions of the applicable telehealth provider
and savings plan agreements. SharkFilet does not provide the healthcare services directly and is not
responsible for the quality or outcome of care delivered by third-party healthcare providers.
9.3 Funding & Pool Transparency
The SharkCare Community Pool is funded by: (a) the mandatory 10% DAO allocation from every Fashion
& Merch transaction; (b) a voluntary 20% contribution from SharkFilet’s own platform fee revenue; (c)
$FILET staking yield directed to the healthcare pool; (d) grant funding and strategic sponsorships; and (e)
premium subscription tier allocations. Pool balances, inflows, and benefit disbursements are published
on-chain and accessible via the SharkCare DAO dashboard.
9.4 HIPAA & Protected Health Information
SharkFilet does not collect, store, or transmit Protected Health Information (PHI) as defined by HIPAA.
SharkCare eligibility verification is performed using on-chain platform activity data only (wallet address,
staking balance, sales metrics). All PHI is handled exclusively by SharkFilet’s licensed healthcare partner
organizations, which have executed Business Associate Agreements with applicable requirements.
Users’ clinical data is governed by each healthcare provider’s privacy policy and applicable HIPAA
requirements.
9.5 Benefit Modifications
SharkCare benefits are subject to change based on pool funding levels, DAO governance votes,
regulatory requirements, and healthcare partner availability. SharkFilet will provide at least 60 days’
advance notice of material benefit reductions via the Platform and registered email. Benefit
enhancements may be implemented with shorter notice.
10. EmotiConnect AR — Mental Health Platform
⚨ Crisis & Emergency Notice
EmotiConnect AR is not an emergency service. If you or someone you know is experiencing a mental
health emergency, suicidal crisis, or is in immediate danger, call 988 (Suicide & Crisis Lifeline), 911,
or your local emergency services immediately. Do not rely on EmotiConnect AR for emergency
mental health intervention.
10.1 Platform as Clinical Tool Overlay
EmotiConnect AR is a software platform provided to licensed telehealth providers as a clinical
engagement overlay. EmotiConnect AR does not provide therapy, diagnosis, or treatment. It provides the
technology environment within which licensed therapists deliver services to their patients. SharkFilet is
not a licensed healthcare provider, clinical supervisor, or mental health professional.
10.2 HIPAA Compliance
EmotiConnect AR is built on HIPAA-eligible AWS infrastructure. All session data, avatar state information,
and emotional state indicators are transmitted using end-to-end encryption. Licensed telehealth providers
using EmotiConnect AR are required to execute a Business Associate Agreement with SharkFilet prior to
launch. Providers are responsible for ensuring their use of EmotiConnect AR complies with all applicable
HIPAA, state privacy, and professional licensing requirements.
10.3 Therapist Responsibilities
Licensed therapists using EmotiConnect AR as a clinical tool remain solely responsible for: (a)
maintaining all applicable professional licenses in the jurisdictions where they practice; (b) ensuring
EmotiConnect AR is used within the scope of their licensure; (c) compliance with their profession’s ethical
standards; (d) obtaining informed consent from patients to use the platform; and (e) clinical judgment on
whether the platform is appropriate for specific patients.
10.4 Minor Participants
Where EmotiConnect AR sessions include minor participants, the supervising licensed therapist is
responsible for obtaining documented parental or guardian consent. SharkFilet does not independently
verify the age of session participants. Therapists who permit minors to participate without consent
assume full responsibility for compliance with COPPA, state minor privacy laws, and applicable
professional standards.
11. Entertainment Division — IP, Licensing & Adaptive Narrative
11.1 Ownership of SharkFilet IP
All SharkFilet Entertainment intellectual property, including but not limited to mythic universe manuscripts,
world architecture documents, character libraries, narrative frameworks, the Adaptive Narrative Engine,
and all content generated within SharkFilet universes by the Platform, is owned exclusively by SharkFilet
LLC. No purchase of books, limited editions, subscriptions, or NFT-enabled receipts transfers any
ownership in the underlying IP to the Buyer.
11.2 Book & Digital Content Purchases
Purchase of physical books, e-books, digital zines, or other SharkFilet Entertainment publications grants
you a personal, non-commercial, non-transferable license to read and enjoy the content. You may not
reproduce, distribute, publicly perform, create derivative works from, or commercially exploit published
content without SharkFilet’s prior written consent.
11.3 NFT-Enabled Limited Editions
NFT-enabled limited edition products issued via SharkFilet’s Zora or Platform storefront are tokenized
receipts that verify your purchase and grant access rights specified in the token metadata. Ownership of
the NFT: (a) verifies your purchase; (b) may grant access to gated content or events as specified; and (c)
does NOT convey any ownership of, equity in, or revenue-sharing rights in the underlying SharkFilet
intellectual property. NFTs are issued on a public blockchain and resale is subject to the smart contract’s
embedded royalty mechanics.
11.4 Adaptive Narrative Engine
Access to the Adaptive Narrative Engine is provided on a subscription basis. Content generated by the
Engine is produced within SharkFilet’s canon-consistent framework. Generated narrative content is
owned by SharkFilet LLC. Users may share generated narrative excerpts non-commercially for personal
enjoyment. Commercial use, redistribution, or publication of generated content requires a separate written
license from SharkFilet.
11.5 Creator Licensing Program
Independent creators approved for in-universe licensing are subject to a separate Creator License
Agreement. The standard economics are: the licensed creator retains 70% of net revenue from their in-
universe work; SharkFilet retains 30% as a universe license fee. Creator License Agreements include
canon consistency requirements, quality gate review obligations, and license revocation provisions for
quality violations or canon breaches.
11.6 Sovereign Narrative Rights (ANE Players)
In accordance with the constitutional framework of the Adaptive Narrative Engine, players and
independent narrative creators retain a permanent, royalty-bearing sovereign IP license over their
uniquely compiled playthrough paths, generated narrative graphs, and customized storytelling save-state
records. These rights are encoded in Smart Narrative Contracts (SNCs) issued to the player’s $FILET
wallet at the moment of story milestone generation and persist independently of the SharkFilet Platform’s
continued operation.
12. Intellectual Property
12.1 SharkFilet’s IP
The SharkFilet brand, name, logo, taglines (including “You are either the shark, or you are the filet”), trade
dress, $FILET and $BITE token names, ARK Mirror brand, EmotiConnect AR brand, SharkCare brand,
the Platform’s software, algorithms, design systems, and all SharkFilet Entertainment IP are the exclusive
property of SharkFilet LLC and are protected by US and international intellectual property laws.
12.2 User-Submitted Content
By submitting content to the Platform (including designs, artwork, reviews, profile content, community
posts, and feedback), you grant SharkFilet a worldwide, non-exclusive, royalty-free, sublicensable,
perpetual license to use, reproduce, adapt, publish, translate, distribute, and display that content in
connection with the Platform and SharkFilet’s marketing activities. You retain ownership of your submitted
content.
12.3 DMCA & Takedown Notices
SharkFilet complies with the Digital Millennium Copyright Act. If you believe content on the Platform
infringes your copyright, send a DMCA takedown notice to dmca@sharkfilet.com, including: (a)
identification of the copyrighted work; (b) identification of the infringing material and its location on the
Platform; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy
under penalty of perjury.
13. User Content & Community Standards
13.1 Prohibited Content
The following content is prohibited on the Platform in all divisions:
• Content that infringes any third party’s intellectual property, privacy, or publicity rights
• Content that is defamatory, harassing, threatening, or discriminatory on the basis of race,
ethnicity, national origin, religion, gender, sexual orientation, disability, or age
• Content depicting or promoting sexual exploitation of minors (CSAM) — zero tolerance; will be
reported to NCMEC and law enforcement
• Content promoting illegal activity, violence, or terrorism
• Pornographic or sexually explicit content not on designated adult-content platforms
• Content that impersonates any person or entity
• Spam, misleading product descriptions, fake reviews, or artificially inflated metrics
• Malware, phishing, or malicious code
13.2 Design Content Standards
Designers must ensure submitted designs do not incorporate: (a) third-party trademarks without
authorization (including sports team logos, band logos, movie characters); (b) copyrighted artwork without
a license; (c) content that misrepresents affiliation with any brand or public figure; or (d) content prohibited
under Section 13.1. Designers who submit infringing content may face clawback of earned royalties,
account suspension, and liability for SharkFilet’s costs in responding to IP claims.
14. AR Try-On & Smart Mirror Terms
14.1 Camera & Biometric Data
The AR try-on feature and ARK Smart Mirror require camera access to function. SharkFilet processes
camera data in real-time to overlay garment visualizations on your live image. SharkFilet does not
persistently store your camera feed, facial geometry data, or body measurements except where you
explicitly save a try-on session as a social share asset. AR processing occurs on-device or via
SharkFilet’s encrypted servers.
14.2 Try-On Accuracy Disclaimer
AR try-on is a visualization aid designed to reduce sizing uncertainty. It does not constitute a guarantee of
fit, appearance, or texture accuracy. Color representation may vary based on device display calibration
and ambient lighting. Garment drape, weight, and texture cannot be fully replicated by augmented reality
visualization.
14.3 ARK Mirror Hardware
ARK Mirror hardware products are sold with a limited 90-day manufacturer’s warranty against defects in
materials and workmanship. The warranty does not cover damage from misuse, unauthorized
modification, or acts of nature. ARK Mirror software subscriptions are licensed, not sold; the license is
non-transferable. SharkFilet may push firmware updates to ARK Mirrors remotely; updates may modify
functionality. Users may opt out of non-security firmware updates by contacting
hardware@sharkfilet.com.
14.4 Retail Mirror Licensing
Retail locations licensing ARK Pro Mirrors are responsible for compliance with all applicable ADA
accessibility requirements, local signage regulations, and applicable biometric data collection disclosures
required by state law (including BIPA requirements in Illinois and CCPA requirements in California).
15. Privacy & Data
15.1 Privacy Policy
SharkFilet’s collection, use, and protection of personal data is governed by the SharkFilet Privacy Policy,
available at sharkfilet.com/privacy, which is incorporated into these Terms by reference. By using the
Platform, you consent to the data practices described in the Privacy Policy. Privacy inquiries may be

15.2 On-Chain Data
Blockchain transactions are public and immutable. Wallet addresses, transaction amounts, token
transfers, and DAO votes recorded on-chain are permanently public. You should not associate a wallet
with personally identifying information you do not wish to be public.
15.3 CCPA Rights
California residents have rights under the California Consumer Privacy Act (CCPA) to: (a) know what
personal data SharkFilet collects; (b) request deletion of personal data; (c) opt out of the sale of personal
data (SharkFilet does not sell personal data); and (d) non-discrimination for exercising these rights.

15.4 GDPR
For Users in the European Economic Area and United Kingdom, SharkFilet processes personal data in
accordance with the GDPR/UK GDPR. The legal basis for processing is performance of contract (order
fulfillment), legitimate interests (platform security and fraud prevention), and consent (marketing
communications). Data subjects have rights of access, rectification, erasure, portability, and objection.

16. Prohibited Conduct
You agree not to:
• Use the Platform to commit fraud, including fake orders, fraudulent returns, chargeback abuse, or
artificially inflating metrics
• Manipulate the $FILET token price through wash trading, coordinated pump activity, or market
manipulation
• Exploit Platform vulnerabilities, reverse-engineer the smart contracts, or attempt to alter the 8-
Way Split outside of DAO governance processes
• Reverse-engineer AR spatial frameworks, inject malicious code scripts, or bypass cryptographic
wallet verification gates
• Scrape, harvest, or systematically extract Platform data without SharkFilet’s written permission
• Use automated bots, scripts, or tools to access the Platform in ways that place unreasonable load
on its infrastructure
• Create multiple accounts to circumvent suspension, access SharkCare benefits fraudulently, or
manipulate review systems
• Attempt to launder money or use the Platform to obscure the origins of funds
• Violate any applicable law or regulation in connection with your use of the Platform
17. Disclaimers & Limitation of Liability
17.1 Platform Provided “As Is”
THE SHARKFILET PLATFORM, INCLUDING ALL SOFTWARE, TOKENOMICS SYSTEMS, SMART
CONTRACTS, SHARKCARE BENEFIT PROGRAMS, EMOTICONNECT AR SERVICES, AND
ENTERTAINMENT CONTENT, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT
WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR
UNINTERRUPTED AVAILABILITY.
17.2 Blockchain & Smart Contract Risk
SHARKFILET DOES NOT WARRANT THE UNINTERRUPTED OPERATION OF BLOCKCHAIN
NETWORKS, SMART CONTRACTS, OR DEFI PROTOCOLS. NETWORK CONGESTION, GAS FEE
VOLATILITY, PROTOCOL EXPLOITS, HARD FORKS, OR REGULATORY ACTIONS COULD AFFECT
TOKEN FUNCTIONALITY, STAKING YIELDS, OR DAO OPERATIONS. USERS ACCEPT THESE
RISKS.
17.3 Token Value
SHARKFILET MAKES NO REPRESENTATION REGARDING THE PRESENT OR FUTURE VALUE OF
$FILET OR $BITE TOKENS. TOKEN VALUES MAY DECLINE TO ZERO. PAST PERFORMANCE IS
NOT INDICATIVE OF FUTURE RESULTS.
17.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHARKFILET LLC, ITS OFFICERS,
DIRECTORS, EMPLOYEES, ADVISORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS
OF PROFITS, LOSS OF DATA, TOKEN VALUE DECLINE, HEALTHCARE BENEFIT INTERRUPTION,
OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SHARKFILET’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM
OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF:
(A) THE TOTAL FEES PAID BY YOU TO SHARKFILET IN THE 12 MONTHS PRECEDING THE CLAIM;
OR (B) $500 USD.
18. Indemnification
You agree to indemnify, defend, and hold harmless SharkFilet LLC and its officers, directors, employees,
advisors, and agents from and against any and all claims, liabilities, damages, losses, costs, and
expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Platform; (b)
your breach of these Terms; (c) your violation of any third party’s rights, including intellectual property
rights; (d) your submitted content; (e) your tax obligations arising from Platform receipts; (f) your operation
as a Designer, Fabricator, or Shipper, including product liability claims arising from products you
manufactured or shipped; or (g) your use of SharkCare benefits, including disputes with healthcare
providers.
19. Dispute Resolution & Arbitration
19.1 Informal Resolution
Before initiating arbitration, you agree to attempt to resolve any dispute informally by contacting
SharkFilet at legal@sharkfilet.com with a written description of the dispute and your proposed resolution.
SharkFilet will attempt to respond within 30 days. If the dispute is not resolved informally within 60 days of
your initial notice, either party may proceed to arbitration.
19.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, the 8-Way Split,
$FILET tokens, SharkCare benefits, or any SharkFilet product or service that is not resolved informally
shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules,
except as otherwise required by law. The arbitration shall be conducted in Harris County, Texas, or, at
your election, via videoconference. The arbitrator’s decision shall be final and binding.
19.3 Class Action Waiver
YOU AND SHARKFILET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN
YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY
PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than
one person’s claims or preside over any form of representative or class proceeding.
19.4 Exceptions
Notwithstanding Section 19.2, either party may: (a) seek emergency injunctive relief in a court of
competent jurisdiction to protect intellectual property rights or prevent imminent harm; (b) bring small
claims court actions within the jurisdictional limits of small claims court; and (c) file complaints with
regulatory agencies including the CFPB, SEC, FTC, or applicable state agencies.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas,
without regard to its conflict of law principles. Subject to the arbitration agreement in Section 19, the
exclusive jurisdiction for any dispute not subject to arbitration shall be the state and federal courts located
in Harris County, Texas.
21. Modifications to These Terms
SharkFilet reserves the right to modify these Terms at any time. Material modifications will be
communicated via: (a) email to your registered address; (b) a prominent notice on the Platform; and (c) a
version update at sharkfilet.com/terms. For modifications materially affecting your financial rights
(including changes to the 8-Way Split percentages, $FILET token mechanics, or SharkCare benefit
eligibility), SharkFilet will provide at least 60 days’ advance notice, during which time a DAO governance
vote may be initiated by $BITE holders. Your continued use of the Platform after the notice period
constitutes acceptance of the modified Terms.
22. Miscellaneous
22.1 Entire Agreement
These Terms, together with the Privacy Policy, any division-specific agreements (Maker Network
Agreement, Shark Pod Agreement, Creator License Agreement), and any applicable SharkCare benefit
documentation, constitute the entire agreement between you and SharkFilet with respect to the Platform
and supersede all prior agreements.
22.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall
continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary
to make it enforceable.
22.3 Waiver
SharkFilet’s failure to enforce any provision of these Terms shall not constitute a waiver of its right to
enforce that provision in the future.
22.4 Assignment
SharkFilet may assign these Terms and its rights hereunder without restriction, including in connection
with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these
Terms without SharkFilet’s prior written consent.
22.5 Force Majeure
SharkFilet shall not be liable for any failure or delay in performance arising from circumstances beyond its
reasonable control, including blockchain network outages, government actions, natural disasters, supply
chain disruptions, or cyberattacks.
22.6 Relationship of Parties
These Terms do not create a partnership, joint venture, employment, or agency relationship between you
and SharkFilet. You are an independent participant using the Platform under license.
